1. Acceptance of Terms

By accessing this website, submitting a membership application, or using the Business Connect Lucknow (“BCL,” “we,” “us,” or “our”) member platform (together, the “Services”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, do not use the Services. BCL may update these Terms at any time; continued use of the Services after an update constitutes acceptance of the revised Terms.

2. Nature of BCL and No Guarantee of Results

BCL is a chapter-based professional networking community that facilitates introductions and referrals among independent business owners. BCL does not guarantee, warrant, or represent that membership will result in any specific amount of business, revenue, referrals, or introductions. Any figures, testimonials, or success stories referenced on this website or within the platform are illustrative and do not constitute a promise of similar results for any member.

Each member operates their own independent business. BCL is not a party to, and assumes no responsibility or liability for, any transaction, contract, referral outcome, or business dealing between members or between a member and any third party introduced through the Services.

3. Membership Eligibility and Application

Membership is granted at BCL’s sole discretion following review of a submitted application. BCL reserves the right to approve, reject, suspend, or terminate any membership application or existing membership at any time, with or without cause or notice, including for conduct BCL determines is inconsistent with its values, category-exclusivity rules, or community standards.

Category exclusivity (one member per business category per chapter) is offered on a best-efforts basis as a structural feature of chapter organization and does not constitute a contractual guarantee of exclusivity, non-competition, or any enforceable restraint on any party.

4. Account Credentials and Security

Members are solely responsible for maintaining the confidentiality of their login credentials (Member ID and password) and for all activity that occurs under their account. Members must notify BCL immediately of any unauthorized use of their account. BCL is not liable for any loss or damage arising from a member’s failure to safeguard their credentials.

5. Member Conduct

You agree not to use the Services to:

• Post false, misleading, defamatory, or infringing content;
• Harass, threaten, or abuse another member or BCL staff;
• Misrepresent your identity, business, or affiliation with BCL;
• Use member contact information obtained through the platform for unsolicited bulk communication (spam) unrelated to a genuine referral or introduction;
• Attempt to gain unauthorized access to any account, data, or system;
• Use the Services in violation of any applicable law.

BCL may remove content, suspend accounts, or terminate membership for any violation of this section, at its sole discretion.

6. Referrals and Introductions

Referrals exchanged through the Services are introductions only. BCL does not vet, endorse, or guarantee the quality, legality, or suitability of any referred lead, product, or service. Members engage with referred parties entirely at their own risk and are solely responsible for conducting their own due diligence before entering into any business relationship.

7. Intellectual Property

The BCL name, logo, and all associated branding are the property of Business Connect Lucknow. Content on this website (excluding member-submitted business information) may not be copied, reproduced, or used without prior written consent. Members retain ownership of content they submit but grant BCL a non-exclusive, royalty-free license to display it within the Services (e.g. directory listings, chapter pages, event announcements) for so long as their membership or listing remains active.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION. BCL DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY MEMBER-SUBMITTED CONTENT, INCLUDING DIRECTORY LISTINGS AND BUSINESS INFORMATION.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BCL, ITS FOUNDERS, CHAPTER ADMINISTRATORS, OFFICERS, AND VOLUNTEERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, ANY REFERRAL OR INTRODUCTION MADE THROUGH THE SERVICES, OR ANY DEALING WITH ANOTHER MEMBER OR THIRD PARTY, EVEN IF BCL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BCL’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES SHALL NOT EXCEED THE MEMBERSHIP FEES PAID BY THE MEMBER, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless BCL, its founders, chapter administrators, officers, and volunteers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use or misuse of the Services; (b) your violation of these Terms; (c) any transaction, referral, or dealing between you and another member or third party; or (d) content you submit to the Services.

11. Termination

BCL may suspend or terminate your access to the Services at any time, for any reason, including breach of these Terms, without liability to you. Upon termination, your right to use the Services ceases immediately; provisions of these Terms which by their nature should survive termination (including Sections 2, 6, 8, 9, 10, and 13) shall survive.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts at Lucknow, Uttar Pradesh, India. Before initiating any formal proceeding, you agree to first raise the dispute with BCL in writing and allow a reasonable opportunity to resolve it informally.

13. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. BCL’s failure to enforce any right or provision is not a waiver of that right. These Terms constitute the entire agreement between you and BCL regarding the Services and supersede any prior agreements on the subject.
